1. Agreement to Terms

Welcome to TR Link Ltd. These Terms of Service ("Terms") constitute a legally binding agreement between TR Link Ltd and you, whether individually or on behalf of an organization, business, or event entity ("User", "you", or "your"), concerning your access to and use of our web applications, order portals, driver applications, and software tools.

BY ACCESSING OR USING THE SERVICES, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

2. Description of Services

TR Link Ltd provides cloud-based software solutions for event management, bulk meal packaging verification, automated order processing, dynamic dispatch routing, driver fleet navigation, customer tracking, and real-time operations coordination ("Services").

3. User Accounts and Role Authorization

• Registration & Accuracy: You agree to provide true, accurate, and current information when creating an account.
• Account Security: You are responsible for safeguarding your login credentials and for any activities under your account.
• Role-Based Access: Access to specific administrative modules (Super Admin, Project Creator, Project Administrator, Dispatcher, Driver) is strictly restricted by role permissions.

4. Project Creation and Event Operations

• Organizer Responsibilities: Project Creators and Event Admins are solely responsible for verifying customer orders, product pricing, dietary notices, and packaging instructions.
• Data Ownership: Customer orders, inventory lists, and project manifests remain the operational data of the respective event organizers.

5. Delivery and Driver Operations

• Driver Conduct: Drivers agree to operate motor vehicles in full compliance with all applicable traffic laws and regulations.
• Proof of Delivery: Drivers agree to capture accurate photo evidence, recipient signatures, or PIN verifications.
• Safety First: TR Link Ltd strictly prohibits the operation of mobile devices while operating a moving vehicle.

6. Order Placement, Payments, and Cancellations

• Public Order Portals: Orders submitted through public event ordering portals are subject to confirmation, kitchen stock availability, and geographic delivery zone verification.
• Payment Terms: Customers agree to pay all charges incurred under their order in accordance with the listed prices and delivery fees.
• Cancellations & Refunds: Cancellation policies and refunds are governed by the specific event organizer's policy.

7. Intellectual Property Rights

The Services, including all source code, databases, algorithms, software architectures, user interface designs, and the "TR Link Ltd" trademarks, are owned or licensed by TR Link Ltd and are protected by copyright, trademark, and other intellectual property laws.

8. Prohibited Activities

• Systematically retrieving data or content to create or compile a collection, database, or directory without written permission.
• Circumventing, disabling, or interfering with security-related features of the Services.
• Uploading or transmitting viruses, Trojan horses, or malicious code.
• Transmitting false, misleading, or deceptive delivery updates, order numbers, or mock GPS signals.
• Using the platform in any manner that infringes on third-party intellectual property or privacy rights.

9. Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TR LINK LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL TR LINK LTD BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL BE LIMITED TO THE GREATER OF NZD $100.00 OR THE TOTAL AMOUNT PAID BY YOU TO TR LINK LTD DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION.

11. Indemnification

You agree to defend, indemnify, and hold harmless TR Link Ltd, its affiliates, officers, agents, and employees from and against any loss, damage, liability, claim, or demand arising out of your breach of these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New Zealand. You irrevocably agree that the courts of New Zealand shall have exclusive jurisdiction.

13. Modifications to Terms

TR Link Ltd reserves the right to modify or replace these Terms at any time. Your continued use of the Services following the posting of revised Terms signifies your acceptance of the changes.
